摘要:
公司形态发展的过程是控制权与所有权分离的过程,而正是这一过程为公司控制权异化提供了发展的温床,对公司而言,控制权的异化除了不可忽视的弊端之外,还掩盖着众多的好处和优势?在确定公司控制权的权力性质的前提下,笔者分析了公司控制权的含义?产生的原因,并分别分析了控股股东控制和管理层控制两种控制权异化的利与弊?
Abstract:
The course in which the company form develops is a separating process of the controlling right from the ownership,which provides a hotbed for the alienation of corporate controlling right.Although the company ought not to ignore the disadvantages resulting from the alienation of controlling right,it is expected to uncover numerous benefits and advantages.On the premise of confirming the essence of the corporate controlling right,the paper studies the definition and the cause of corporate controlling right,and analyzes advantages and disadvantages of the alienation of two kinds of controlling rights,the controlling shareholders control and the corporate management control.
